Terms of Service

These terms set out the practical rules for using LocalDigit’s business communications and customer engagement services.

Agreement and service provider

These Terms of Service (“Terms”) govern access to and use of the websites, applications, business phone, contact centre, messaging, CRM, customer engagement, and related services offered by Partash Solutions Inc., operating as LocalDigit (“LocalDigit,” “we,” “us,” or “our”).

By creating an account, accepting an order, or using the services, you agree to these Terms. If you use LocalDigit for an organization, you confirm that you have authority to bind that organization. An order form, service schedule, statement of work, or other written agreement may add to or modify these Terms. If there is a conflict, the more specific signed agreement controls for that service.

Accounts and authorized users

You must provide accurate account information, keep it current, and protect usernames, passwords, authentication methods, and devices. You are responsible for activity by authorized users and for promptly removing access when a user no longer requires it.

Notify us promptly at support@localdigit.ca if you suspect unauthorized access or misuse. We may require reasonable verification before changing account ownership, administrative access, billing details, or security settings.

Services, changes, and availability

The features included in your service are described in the applicable plan, order, or service documentation. We may improve, update, replace, or discontinue features to maintain security, reliability, legal compliance, or product quality. Where a change materially reduces a contracted core feature, any notice or remedy will be governed by the applicable order or agreement.

Communications services rely on internet connectivity, power, third-party networks, carriers, devices, and other systems outside our control. We do not guarantee uninterrupted or error-free service, delivery of every message, or compatibility with every device, carrier, or integration.

Acceptable use

You and your users must not use the services to:

  • violate law, regulation, court order, or another person’s rights;
  • send spam, deceptive, abusive, threatening, or unlawful communications;
  • harass others, impersonate a person or organization, or misrepresent caller identity;
  • distribute malware or attempt unauthorized access, interception, probing, or disruption;
  • circumvent security, usage, carrier, registration, or technical controls;
  • engage in fraudulent, high-risk, or artificially generated traffic; or
  • resell or make the services available contrary to your plan or written agreement.

We may investigate suspected abuse and take reasonable steps to protect users, networks, carriers, and the services.

Messaging, campaigns, and consent

If you send SMS, MMS, email, campaigns, or other electronic messages, you are responsible for the recipients, content, timing, consent records, sender identification, opt-out mechanisms, and compliance with applicable anti-spam, marketing, privacy, consumer-protection, and carrier rules.

This includes Canada’s Anti-Spam Legislation where it applies. You must promptly honour unsubscribe requests and must not use purchased, harvested, or otherwise unlawfully obtained contact lists. Carriers may filter, delay, reject, or limit traffic, and message delivery is not guaranteed.

Call recording and monitoring

If you enable recording, monitoring, transcription, analytics, or similar features, you are responsible for determining when they may lawfully be used and for giving notices, obtaining consents, setting permissions, and applying retention controls required in each relevant jurisdiction. You must not use these features in a way that violates privacy, employment, surveillance, or communications laws.

Emergency calling

Internet-based and nomadic calling may have limitations for 9-1-1 and other emergency services. Availability and routing can depend on service configuration, the registered service address, device location, internet and power availability, and third-party networks.

Follow all activation and address-registration instructions, keep emergency location information current, inform users of applicable limitations, and maintain an alternative way to reach emergency services. Do not assume a LocalDigit feature supports emergency calling unless it is expressly identified in your service documentation.

Telephone numbers and porting

Number availability, assignment, activation, caller identification, and porting are subject to validation, carrier processes, regulatory requirements, and technical feasibility. Porting dates are estimates until confirmed by the relevant carrier.

You must provide accurate authorization and account information and must not cancel an existing service prematurely where that could disrupt a port. Rights to use a number may end when service ends, except where applicable law or an approved port provides otherwise.

Fees, billing, and taxes

Fees, usage charges, billing frequency, included quantities, renewal, cancellation, and any minimum commitment are set out in the applicable plan or order. Unless stated otherwise, quoted prices exclude applicable taxes, government charges, carrier fees, and usage beyond included allowances.

You must keep billing details current and pay undisputed amounts when due. If you believe an invoice is incorrect, contact us promptly and provide enough detail for review. Late, failed, or disputed payments may affect service as permitted by the applicable agreement and law.

Customer data and privacy

As between you and LocalDigit, you retain your rights in content and data that you or your authorized users submit to the services. You grant us the limited rights needed to host, process, transmit, back up, secure, and otherwise handle that content to provide and support the services and meet legal obligations.

You are responsible for having the authority, notices, and consents required to provide customer, employee, contact, communications, and other data to LocalDigit. Our handling of personal information is further described in the Privacy Policy.

Intellectual property

LocalDigit and its licensors own the services, software, interfaces, documentation, branding, and related intellectual property, excluding customer data. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to use the services for your internal business purposes during the service term. You may not copy, reverse engineer, modify, or create derivative works except where applicable law does not permit that restriction.

Third-party services

The services may connect with carriers, app stores, payment providers, integrations, websites, or products operated by third parties. Their terms and privacy practices apply to their services. LocalDigit is not responsible for third-party products or for changes, interruptions, or actions outside our reasonable control, although we will use reasonable efforts to manage the services we select to support LocalDigit.

Suspension and termination

We may suspend or restrict service where reasonably necessary to address security threats, unlawful or abusive use, carrier or regulatory requirements, non-payment, material breach, or risk to users or the platform. Where appropriate, we will try to provide notice and an opportunity to correct the issue.

Termination and cancellation rights are governed by the applicable order or agreement. When service ends, access may stop and customer data may be deleted according to the agreement, account settings, our Privacy Policy, and legal retention requirements. Account deletion requests are described on the Delete Account & Data page.

Disclaimers

To the maximum extent permitted by law, the services are provided “as is” and “as available.” We disclaim implied warranties and conditions, including merchantability, fitness for a particular purpose, title, and non-infringement. Nothing in these Terms excludes warranties, conditions, or rights that cannot lawfully be excluded.

Limitation of liability

To the maximum extent permitted by law, LocalDigit and Partash Solutions Inc. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business opportunities arising from or related to the services.

Any aggregate liability will be limited as stated in the applicable order or written agreement. This section does not limit liability that cannot lawfully be limited.

Indemnity

To the extent permitted by law, you will defend and indemnify Partash Solutions Inc. and its personnel against third-party claims, damages, penalties, and reasonable costs arising from your content, your users’ use of the services, or your material breach of these Terms or applicable law. This obligation does not apply to the extent a claim results from our own breach or misconduct.

General terms

These Terms and the applicable order form the agreement between the parties regarding the services and replace prior discussions on the same subject. You may not assign the agreement without our consent, except as permitted in a written agreement. We may assign it as part of a merger, reorganization, sale, or transfer of the relevant business.

If a provision is unenforceable, the remaining provisions continue. A delay in enforcing a right is not a waiver. Events beyond reasonable control may excuse delay to the extent they prevent performance.

Governing law, changes, and contact

Unless a written agreement states otherwise, these Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. The courts located in Ontario will have jurisdiction, subject to any rights or procedures that cannot lawfully be excluded.

We may update these Terms to reflect changes to the services, law, or business practices. The “Last updated” date identifies the current version. Material changes may be communicated through the service or by another appropriate method.
